5 property. Except as provided in this Agreement, we own or grant all right, title and interest in and to the EPS Services and all information derived from or in conjunction with them. You acknowledge that under this Agreement, you may not acquire any ownership rights in the EPS Services. Guarantees. WE DISCLAIM ALL WARRANTIES RELATING TO THE SERVICES PROVIDED BELOW, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHER, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF ACCESSIBILITY OR FITNESS FOR A PARTICULAR PURPOSE. Compensation. You agree to exempt us from all losses, debts, costs, damages and expenses, including reasonable legal fees and attorneys` fees arising out of or incurred as a result of any breach of this Agreement; (b) your unauthorized or illegal use of the EPS Services; (c) unauthorized or unlawful use of the EPS Services by another person who uses your username, including a person designated by you; (d) inaccurate or incomplete data that you provide to us or that you do not provide to us; (e) your failure to update the information in a timely manner; or (f) negligence or wilful misconduct on the part of you, your directors, senior management, employees, its delegates, representatives and associated companies. You assume the total risk of loss of records, data and materials during your transportation from you to us or to our representatives or subcontractors. Limitation of Liability.

In no event shall our financial liability for our acts or omissions under this Agreement exceed any fees or charges you have paid to us (except for the portion of the fees that constitute transit charges) for the transaction or activity that has been or has been the subject of the alleged non-performance.
